1. This agreement
i. This Agreement governs the relationship between CompletePlace Pty Ltd ACN 608 979 826 (referred to as "we", "our" or "us") and each tradie who is, or would like to become, a CompletePlace Member (referred to as "you" or "your").
ii. By completing a Sign-Up, purchasing a Package, or accepting a Customer job generated by the System, you accept and agree to be bound by this Agreement (as amended from time to time).
iii. Your continued use of the Goods and Services under this Agreement after any amendments to this Agreement (or any part thereof) constitutes an agreement by you to observe and be bound by this Agreement as so amended. For this reason, you should review this Agreement each and every time you access the System as it may be amended.
iiii. Terms which are capitalised in this Agreement have the same meaning as defined in clause 29(i) unless specified otherwise.
2. Our Goods and Services
As a CompletePlace Member, you will receive:
i. the right to purchase certain Service packages offered exclusively to CompletePlace Members by us from time to time as notified to you in writing or as set out on the Website, including Leads Packages, Percentage Packages, and Marketing Packages;
ii. if and for so long as you have purchased a Leads Package or Percentage Package that remains current, advertising and marketing support utilising our brand through various channels. This includes a designated webpage on our Website which sets out your business details for Customers to view and promotional video. We reserve the right to include, exclude or change the advertising or marketing program at any time during this Agreement in any manner we consider appropriate; and
iii. a non-exclusive non-transferrable licence to use the CompletePlace Property solely in connection with your Tradie Services and otherwise on the terms of this Agreement. You agree that this licence is limited as follows:
a. you will not use the CompletePlace Property in any manner or format other than as designated by us from time to time and you must not use any other phonewords or marks which are deceptively similar to or likely to cause confusion with the CompletePlace Number or Marks;
b. you must not incorporate the CompletePlace Property into your Business Registration and you must not challenge the use of the CompletePlace Property in the Business Registrations of either us or any other CompletePlace Member;
c. you must obtain our written consent before promoting or advertising your Tradie Services with the CompletePlace Property, which consent will not be unreasonably withheld; and
d. any powers conferred on "authorised users" under section 26 of the Trade Marks Act 1995 in relation to the Marks are expressly excluded.
3. Purchases
i. The terms and conditions on which we offer Packages for purchase by you will vary from time to time and will be as notified to you in writing or as set out in the relevant offer on our Website.
ii. Any purchase of Packages by you will be subject to the specific terms and conditions set out in the relevant offer on the Website and otherwise by this Agreement.
iii. You agree that by purchasing a Leads Package from us we make no representation, warranty or guarantee that you will receive all associated Lead Entitlements.
iiii. The decision to assign a Customer job to a CompletePlace Member is at our discretion. You acknowledge and agree that:
a. there may be other CompletePlace Members who have purchased Lead Entitlements relating to the same Selected Postcode and CompletePlace will in each case select the CompletePlace Member that in its sole opinion is most appropriate to conduct the relevant Customer job;
b. CompletePlace may give preference to CompletePlace Members based on any one or more of their skills, qualification and experience; their availability; any previous jobs performed for the relevant Customer; the history of their compliance with this Agreement (or any other agreement with us) or any licensing or industry requirements applicable to them; and customer satisfaction ranking as assessed by CompletePlace based on price, performance, quality and response times; and
c. you must not make any objection or claim for compensation, loss or damages as a result of the operation of this paragraph (iv).
v. You will not be entitled to any compensation for not receiving all Lead Entitlements purchased in a Package except to the extent the relevant offer stipulates otherwise.
vi. Unless the relevant offer stipulates otherwise, at the expiry of the term of any Package purchased by you, where we are offering Leads Packages on materially the same terms and conditions of the Leads Package you have purchased, we will automatically renew your Leads Package when the number of remaining Lead Entitlements in your Package falls to 5 (or any other number that is specified in the relevant offer, or otherwise notified to you in writing or specified on the Website), unless you notify us otherwise in writing.
vii. If the relevant offer does not stipulate an expiry date for the term of a Package, then (subject to receipt by us of a written refund application from you no earlier than 3 years after the date you purchased the relevant Package) we will refund to you a portion of the price paid by you for the Package pro-rated according to the number of Lead Entitlements then outstanding, less the Administration Fee.
4. Customer discounts
You agree and acknowledge that CompletePlace will from time to time offer discounted services to Customers that may impact upon the pricing of Customer jobs assigned to you. Where CompletePlace does offer discounted services to Customers, you will be compensated by receiving a voucher (with face value equal to the amount of the relevant discount) capable of being redeemed and applied by you toward your next purchase of a Package, subject to the terms and conditions (including in respect of the applicable redemption procedure) that may apply to any such voucher, as notified to you on issue.

5. Sign Up
i. When you Sign Up, you must:
a. provide us with all information we reasonably require so that we can register you as a CompletePlace Member and conduct a quality of service check on you. This includes providing us (as we request) with your contact details, ABN, personal identification details, confirmation of insurance, details of your work history, references from previous customers of your business (who have been customers in the last 12 months), a police check through an approved Australian authority, any and all licences and registrations in respect of your trade and any or all of such information in respect of your Personnel if requested by us. You will be solely responsible for ensuring that your Personnel are sufficiently qualified and of good character;
b. advise us of your preferred Selected Postcode(s);
c. pay the applicable price for your preferred Package as notified to you in writing or on the Website in the method and in the manner required by us; and
d. pay to us a non-refundable Sign Up Fee (if applicable, as notified to you in writing or on the Website) in the method and in the manner required by us.
ii. By completing the Sign Up as described above, you accept the terms and conditions of this Agreement.
iii. We will then register this information on the System. We may use or disclose the information we collect from you at the time of Sign Up (or subsequently) for a variety of reasons, including disclosing your information to a third party agency so that it may carry out a service quality standard check on you or your Personnel. See our Privacy Statement for further information.
iiii. Up until the point that you are registered as a CompletePlace Member, CompletePlace will be under no obligation to allocate jobs to you.
6. Changing your Selected Postcodes
If you want to change the Selected Postcode(s), you will need to contact us and we will do our best to facilitate the change, subject to the availability of the new postcode you request and the number of Selected Postcodes you are entitled to in respect of the relevant Leads Package or Percentage Package you have purchased.
7. Your Obligations
For the full period of the Term, you must:
i. provide Tradie Services to each Customer with a high degree of skill, care and professionalism. This includes:
a. (at our discretion and subject to appropriate follow-up checks from Customers) maintaining at least a 1.5 star rating and not receiving more than two negative written reviews from Customers in respect of the CompletePlace Customer feedback system;
b. being honest and courteous and treating your Personnel and each Customer and their property with respect and never wearing dirty work gear to a job (or leaving any dirty work gear at an existing job);
c. providing identification when requested by a Customer;
d. efficiently servicing Customers in your Selected Postcode(s) including promptly returning phone calls and arriving on time to scheduled appointments or rescheduling any appointments that you cannot attend in advance;
e. being realistic about setting timeframes for completion of any jobs requested by Customers and keeping Customers informed as to the likelihood that the completion date will occur on the scheduled completion date;
f. entering into a written contract with each Customer which sets out the specifications for the job requested by the Customer and the pricing of such job and where applicable, procuring the Customer to enter into any additional or variations of the original contract;
g. never providing any Tradie Services to a Customer that you are not qualified to provide;
h. ensuring that all of your Personnel are sufficiently qualified and of good character and carrying out all necessary checks and conducting such background and qualifications checks as may be necessary to verify this is the case;
i. never demanding cash payment from any Customer in satisfaction of a job;
j. promptly advising us of any complaints made against you, your Personnel, or any other CompletePlace Member that you are made aware of, and, as far as practicable, provide us with details of the complaint; and
k. dealing with complaints professionally;
ii. comply with all applicable laws (including health and safety laws), industry codes, regulations and our directions in relation to your Tradie Services, your use of the Services and any of your obligations under this Agreement and promptly notify us if you cancel or change your insurance policies, if you breach or allegedly breach any laws, industry codes or regulations, if you are found guilty of an offence or if any of your personal information provided to us changes;
iii. provide us with any information we request on your standard pricing for a job, including preparing any quotes we ask you to prepare for research purposes from time to time;
iiii. not do anything that is reasonably likely to adversely affect the value or reputation of the CompletePlace Property or us; and
v. not directly or indirectly contact any Customer whatsoever with the purpose of encouraging them to contact you directly in the future without using the Services. If a Customer contacts you directly, you must direct the Customer to the System.
8. Personnel
i. For the full period of the Term, you must ensure that your Personnel:
a. undertake and agree to perform all work in respect of the Tradie Services in accordance with the terms of this Agreement;
b. have sufficient skill, qualifications and character to ensure you can meet your obligations under clause 5 of this Agreement; and
c. strictly comply with the terms and conditions of this Agreement.
ii. You acknowledge that we are under no obligation whatsoever to perform any checks on your Personnel and that we may suffer loss if you do not comply with clauses 7(i)(h) and 8(i).
9. Insurance
For the full period of the Term, you must take out and maintain the following insurances for you and your Personnel for the amounts reasonably required by us from time to time: public liability insurance, professional indemnity insurance, motor vehicle insurance, workers compensation insurance and any other insurances required by law or us from time to time. You must provide us with certificates of currency for any insurance required under this clause upon request.
10. Customer Feedback System
You acknowledge that we will obtain Customer feedback using the System or otherwise and may act on such feedback in exercising our rights under this Agreement at our absolute discretion. We are, however, not required to monitor the feedback or provide you with any feedback material.
11. Charges
i. You are required to pay to us:
a. the once off non-refundable Sign Up fee (if applicable) in accordance with clause 5(i)(d); and
b. fees or charges associated with the purchase by you of a Package as advised to you in the relevant offer of those Services from time to time.
ii. You must not for any reason withhold payment of any amount due under this Agreement whatsoever. We may set off against any payment due to us any unpaid debts you owe us or owe any of our Group Companies.
12. Billing and Payments
i. The forms of payment accepted by us under this Agreement are credit card payments and payments made by direct debit through the Ezidebit facility group specified in this Agreement, or any other methods we advise you of from time to time on the Website at point of purchase.
ii. We will provide tax invoices by email or by giving you access to the tax invoice on a website. You should be aware that presentation of the tax invoice and access to it may be adversely affected by your equipment or conditions beyond our control.
iii. Where the Website does not require payment at point of purchase, you must pay us the charges under this Agreement by the date set out in the tax invoice. If no due date is specified on a tax invoice, you must pay within 14 days of the date of the invoice.
iiii. In addition to our termination and other rights under this Agreement, if you do not make payments as required under this Agreement we may:
a. suspend provision of the Services;
b. charge you interest on any due and unpaid amount on a daily basis from the due date until payment is received at the rate of no more than 2% higher than the rate then fixed under the Penalty Interest Rates Act 1983 (Vic);
c. charge you a payment failure fee – charged when a payment (such as a credit card or direct debit transaction) is not processed successfully;
d. charge you a late payment fee – charged when you have not successfully made payment within 14 days after the payment is due; and
e. charge you a debt collection fee – charged when we have been unable to recover a payment for at least 28 days and we refer the matter to an external debt collection or legal firm.
13. Term
This Agreement will start on the earlier of the date you:
i. accept a Customer job generated by the System;
ii. purchase a Package; or
iii. complete the Sign Up as described in clause 5,
and will continue until validly terminated in accordance with this Agreement.
14. Intellectual Property
You acknowledge and agree that the CompletePlace Property:
i. is our property (or the property of our licensors) and you will not obtain any right, title or interest in or to them except as expressly stated in this Agreement;
ii. will be used by third parties including other plumbers, builders, electricians and other tradies or service providers who may market or operate a business in your Selected Postcode(s) or in competition with you;
iii. is to be used by you at your own risk; and
iiii. all goodwill in respect of the CompletePlace Property belongs to us.
You must notify us promptly of any infringement or suspected infringement of the CompletePlace Property. If a third party commences an action against you relating to the CompletePlace Property, we may defend or settle the action or claim on your behalf, at our discretion. If we defend or start proceedings, you must promptly and fully cooperate in the proceeding, including providing documents and witnesses to give evidence in those proceeding at no cost.
15. Campaigns
From time to time, we run unique campaigns which may require the terms and conditions in this Agreement to be varied, amended or replaced with new terms and conditions. We will let you know when this is the case and provide you with information on where the campaign terms and conditions can be located. You must comply with the terms and conditions of such campaigns and the terms and condition of such campaigns will prevail to the extent of any inconsistency with this Agreement.

16. Partners
i. We may allocate you jobs from our Partners on the System. If you accept a job which has been raised by one of our Partners, you acknowledge and agree that you are also bound by the terms and conditions of that Partner in respect of the job.
ii. You indemnify us and our Group Companies against any loss, damage, claim, action, liability, cost or expense on a full indemnity basis suffered, or incurred, by us or our Group Companies arising from, or in connection with, a breach of the Partner's terms and conditions.
17. Termination by us
We may terminate this Agreement if:
i. you breach the Agreement, including without limitation, by allowing your insurance or licences to lapse;
ii. you operate your business of providing Tradie Services in a way that is fraudulent or endangers public health or safety or there is evidence to suggest fraud or other illegal conduct in relation to a service by you or anyone else using it;
iii. you fail to pay our invoices by the due date or any later date we agree;
iiii. you have died, become bankrupt, insolvent or subject to a similar insolvency event and we reasonably believe we are unlikely to receive or retain payments for our charges;
v. you are a corporation, and there is a material change in the organisation, management or constitution of the corporation (including a proposed change in Control (as that term is defined in section 50AA of the Corporations Act 2001 (Cth)) at any time); or
vi. we are required to do so in order to comply with legislative or regulatory requirements, a warrant or other court order or lawful direction of a competent authority.
We may also terminate this Agreement without giving any reason provided we give you at least 30 days' notice of termination. If we terminate this Agreement without cause and you have purchased a Package with Lead Entitlements remaining, we will refund to you a portion of the price paid by you for the Package pro-rated according to the number of Lead Entitlements then outstanding, less the Administration Fee.
18. Termination by you
You may terminate this Agreement at any time by giving us at least 30 days written notice.
19. Consequences of Termination
Upon termination of this Agreement:
i. we will cease providing our Services;
ii. all licences and rights granted to you under this Agreement will cease and you must cease using the CompletePlace Property (including in any documents, labels, advertising, artwork or other material) or otherwise;
iii. if you hold any applications or registrations of your Business Registration which incorporate the CompletePlace Property and were made in breach of this Agreement, you must, immediately on demand, transfer them to us or cancel them (at our option);
iiii. all monies owing to us become due and payable;
v. unless we have terminated this Agreement without cause, you are not entitled to a refund of any money paid under this Agreement, including charges associated with your Leads Package where Lead Entitlements remain unfulfilled; and
vi. clauses which by their nature are intended to continue beyond termination or expiry of this Agreement (including clauses 14, 23, 24, 28 and 29) do so continue.
20. Maintenance and Repairing Faults
i. We do not warrant that the Services or the System will be free of delays or faults.
ii. We may temporarily suspend or restrict any Service or access to the System:
a. during any scheduled maintenance period (but we will make reasonable efforts to schedule such maintenance at a time that does not unduly inconvenience your business);
b. if we think suspension is necessary or reasonable to carry out urgent repairs to the System; or
c. in order to comply with any applicable law or order or request of any government or regulatory authority.
iii. You must not make any objection, requisition, or claim for compensation, loss or damage in relation to any suspension or restriction of any Service or the System or require us to take any steps to rectify the suspension or restriction.
21. Your Warranties
You warrant on Sign Up and during each day of the Term that:
i. you are at least 18 years of age;
ii. you have full power and capacity to enter into and perform the obligations under this Agreement and can do so without the consent of any person and, in the case of a corporate entity, is duly incorporated and validly existing under the laws of its place of incorporation; and
iii. Your Number (and the answer point for calls to Your Number) will be a telephone number owned and operated by you or your Personnel and that calls to Your Number will not be diverted to any third party;
iiii. Your Email will be an email address owned and operated by you or your Personnel and that emails will not be diverted to any third party; and
v. you and your Personnel will hold all necessary accreditations, qualifications, licences and insurances required to provide Tradie Services in respect of any Customer jobs you accept.
22. Our Warranties
i. We warrant that we own or control the rights to the CompletePlace Property and that we are authorised to operate the System.
ii. We do not give any warranties:
a. as to the availability or performance of the Services or the System;
b. as to the number or nature of Customers or that they will provide you with any business;
c. as to the amount of revenue, profits, benefits or other outcomes you may receive in connection with the CompletePlace Property, the Services, the Packages, or the provision of your Tradie Services to any Customers;
d. that Customers will be appropriate customers for your business or will pay for work you perform for them. You are responsible for dealing with Customers at your own risk, including collection of amounts Customers owe you; or
e. that we will promote the CompletePlace Property.
iii. Other than as set out in Agreement, to the full extent permitted by law, all warranties relating to the Goods and Services (including implied warranties and warranties regarding quality or fitness for purpose of the Goods and Services) are excluded. Nothing in this Agreement limits any rights or remedy which you may have by application of statute which we cannot contract out of.
23. Liability and Indemnities
i. To the extent permitted by law, our liability to you for all loss or damage arising out of or in connection with this Agreement whether arising in tort (including negligence), statute or contract is limited to the amount of fees or other monetary payments we have received from you during the Term.
ii. To the extent permitted by law, we will not be liable to you (or any person claiming through or under you) for any remote, indirect, consequential, special or incidental damages, including without limitation, damages resulting from us terminating this Agreement, from loss of profits, goodwill or business interruption, or cost of cover, whether based on breach of contract, tort (including negligence), product liability or otherwise. This limitation will apply even if we have been advised of the possibility of such damages.
iii. Nothing in this Agreement limits any rights or remedy which you may have by application of statute which we cannot contract out of.
iiii. You are liable for, and indemnify us and our suppliers against, all liability, costs, loss or damage (including legal costs) suffered or incurred by us or our suppliers in connection with:
a. injury to, or death of, any Customer you service or any other person and for damage to, or loss of, property arising out of or attributed, directly or indirectly, to your conduct, operations or performance;
b. any misrepresentations made by you, or your Personnel, to any person relating to the Services; and
c. any action of you, or your Personnel, which is contrary to this Agreement.
d. any breach by you under this Agreement; and
e. the use of the CompletePlace Property.
24. Costs
Without limiting clause 23, you must pay all reasonable legal and other costs incurred by us as a result of or in connection with a breach of this Agreement or the lawful termination of this Agreement.
25. GST
i. Terms which are defined or have a special meaning in A New Tax System (Goods and Services Tax) Act 1999 (Cth) (GST Act) have the same meaning in this document, when used in relation to GST, unless indicated to the contrary.
ii. If a GST is imposed on any supply made under or in connection with this Agreement (a taxable supply) the party obliged to pay for the taxable supply will pay additional consideration of an amount equal to the GST payable on or for the taxable supply.
iii. The charges referred to in this Agreement are exclusive of GST.
26. Transfer of This Agreement
i. You must not transfer or otherwise assign your rights under this Agreement without our prior written consent, which will not be unreasonably withheld if the transfer is in connection with a sale of your business and you provide the following to us:
a. written notice of the name and address of the proposed transferee;
b. evidence in the form reasonably required that the proposed transferee is likely to be able to meet the financial obligations under this Agreement and can comply with the terms of this Agreement; and
c. a transfer deed in a form reasonably required by us executed by you and the proposed transferee.
ii. We may refuse consent to any transfer of this Agreement if you have not paid all amounts owing to us under this Agreement, you are in breach of this Agreement, you do not pay our costs of consenting to, or effecting, the transfer or you do not give us satisfactory evidence that the transfer is in connection with a sale of your business.
iii. We may assign this Agreement on the sale of our business or otherwise assign, transfer or deal with our rights under this Agreement without requiring your consent.
27. Our Communications
We may give you notices under this Agreement by sending them to Your Email. That is, the email address provided by you, on Sign Up, or, your most recent address as advised to us in writing. A notice emailed to you will be deemed to be delivered to you when it leaves our computer system. It is your responsibility to check your email regularly and make sure that your email facility is capable of receiving emails from us. We may also give notices to you using any other mode permitted by law.
28. General
i. Any undertakings given in favour of us under this Agreement are also given for the benefit of each of our Group Companies.
ii. Nothing in this Agreement creates a joint venture, partnership, or the relationship of principal and agent, or employee and employer between the parties and no party has the authority to bind any other party by any representation, declaration or admission, or to make any contract or commitment on behalf of any other party or to pledge any other party's credit.
iii. This Agreement contains the entire understanding between the parties with regard to the subject matter it deals with.
iiii. You must do anything (including executing a document) we reasonably require in writing to give full effect to this document and the transactions it contemplates.
v. This Agreement is governed by the laws of Victoria. The parties submit to the exclusive jurisdiction of its courts.
vi. Waiver of any right, power, authority, discretion or remedy arising upon a breach of or default under this Agreement must be in writing and signed by the party granting the waiver.
29. Definitions
i. In this Agreement:

“Administration Fee” means an administration fee payable by you to us upon certain occurrences, of an amount notified to you from time to time on our Website or otherwise in writing.

"Agreement" means this Agreement and all other written information provided to you on Sign Up, including Your Number, your Selected Postcode(s) and our charges relating to providing the Services.

"Business Registration" includes a company name, business name, trading name, trade mark, domain name or any sign used to identify a business or its products or services.

"CompletePlace Property" means the Plumber Number, the CompletePlace Number and the Marks.

"CompletePlace Member" means a tradie who has been registered on the System.

"CompletePlace Number" means 1300 466 339.

"Customer" means:
a. a person who contacts you or us using the System, including a Partner; and
b. a user of your Tradie Services, which job arose as a direct or indirect result of this Agreement or our System.
"Goods" means any promotional material, merchandise or other goods we supply to you.

"Group Companies" means all those related bodies corporate (as that term is defined in section 9 of the Corporations Act 2001 (Cth)) of CompletePlace from time to time.

“Lead Entitlement” means an entitlement to be assigned a Customer job by CompletePlace in a Selected Postcode.

“Leads Package” means a package offer from us to assign a selected number of Lead Entitlements to you in a specified time period, in the relevant Selected Postcodes, for the fee and otherwise carrying such terms and conditions as may be notified by us in the relevant offer.

“Marketing Package” means a package offer from us to provide certain advertising and marketing Services, including a designated webpage or our Website which sets out your business details for Customers to view and a promotional video hosted on that webpage in exchange for an annual subscription fee and otherwise carrying such terms and conditions as may be notified by us in the relevant offer.

"Marks" means the registered and unregistered rights in the “CompletePlace” trade mark and various other marks which we may use at any time to market our Goods or Services.

“Packages” means Leads Packages, Percentage Packages, and/or Marketing Packages.

"Partner" means an affiliate partner of ours, including suppliers, retailers, wholesalers, real estate agencies, property developers and managers, owners corporations, facility management groups, commercial fitout organisations, home emergency services providers, home appliance companies and installers, strata companies, governmental agencies or statutory bodies, telecommunication or other utility providers, resellers or other brokers.

“Percentage Package” means a package offer from us to assign a selected number of Lead Entitlements to you in the relevant Selected Postcodes, in consideration of you agreeing to pay us a specified percentage of your fees earned from the relevant Lead Entitlements and otherwise carrying such terms and conditions as may be notified by us in the relevant offer.

"Personnel" means any personnel, employees, agents, contractors or sub-contractors or any other persons you engage to perform the Tradie Services.

"Selected Postcode(s)" means each postcode which you have chosen as your preferred postcode and in relation to which Lead Entitlements will be assigned to you under a Leads Package or a Percentage Package that you have purchased under this Agreement, including any agreed changes to such postcodes.

"Services" means provision of the Lead Entitlements and any other services provided to you by us and our other suppliers in connection with this Agreement.

"Sign Up" means the date you apply to become a CompletePlace Member.

"Sign Up Fee" means (if applicable) the initial non-refundable fee payable to become a registered CompletePlace Member, as notified to you in writing or on the Website.

"System" means:
a. the interactive response system which receives calls made to the CompletePlace Number, notifies you of the potential job (via voice call or SMS to Your Number or email to Your Email) if the Customer selects your Selected Postcode, and then provides you with the relevant details if you accept the job; and
b. the interactive response system which receives enquiries made to our Website, notifies you of the potential job (via voice call or SMS to Your Number or email to Your Email) if the Customer selects your Selected Postcode, and then provides you with the relevant details if you accept the job;
"Term" means the period of this Agreement determined under clause 13.

"Tradie Services" means the property services (which may be plumbing, building, electrical or any other services we accept) provided by you to the public.
